PrepNourish Creator & Affiliate Program Terms

Welcome to the PrepNourish Creator & Affiliate Program ("Program").

Our goal is to build long-term relationships with creators who genuinely love the brand and want to help more people enjoy healthier eating.

These Terms govern your participation in the Program. By joining, you agree to comply with these Terms.

These Terms do not constitute an employment relationship between you and PrepNourish.

• PrepNourish — Means PrepNourish and its affiliates.
• Creator — Any individual accepted into the PrepNourish Creator Program.
• Affiliate Link — A unique tracking link assigned to a creator.
• Affiliate Code — A unique promotional code assigned to a creator.
• Qualified Purchase — A completed order that satisfies the requirements outlined in these Terms.
• Commission — The percentage or amount payable to a creator for Qualified Purchases.

To participate you must:

• Be at least 18 years old.
• Own and control your social media account(s).
• Provide accurate personal and payment information.
• Be capable of entering into legally binding agreements.

PrepNourish reserves the right to reject any application without providing a reason.

Participation in this Program does not create:

• Employment
• Agency
• Partnership
• Joint venture

Creators act as independent contractors.

Creators are responsible for their own taxes and statutory obligations.

Depending on your level within the Program, you may receive:

• Affiliate commissions
• Discount codes
• Creator dashboard access
• Meal credits
• Campaign opportunities
• Exclusive launches
• Community events
• Performance bonuses

Benefits may change over time.

Meal credits and complimentary or discounted meals (if any) are subject to the following rules:

• Caps — PrepNourish may set quantity caps on meals or meal credits. Ordering or requesting more than the approved cap is not permitted without prior written approval.
• Content requirement — Further meals or meal credits will not be provided where previously supplied meals did not result in the agreed content (for example, a video) within the stated timeline, unless PrepNourish agrees otherwise in writing.
• Substitutions — PrepNourish may change meals, menu items or pack composition based on availability, price, production constraints or operational needs. Creators will be informed before such changes are made where reasonably practicable.
• Excess orders — Orders or requests in excess of approved quantities may be refused, applied toward future approved needs, treated as personal purchases, or charged to the Creator at the applicable rate.
• Campaign vs personal use — Meals and meal credits supplied for Program, shoot or campaign purposes must be used for that purpose. Personal consumption beyond what PrepNourish has expressly approved is not included and may be charged. Mixing campaign product with personal orders without disclosure is prohibited.

Abuse of meal credits, shoot meals or product supply may result in suspension, termination, cancellation of unpaid benefits, and recovery of costs for unauthorised or excess orders.

Creators agree to:

• Represent PrepNourish honestly.
• Share truthful experiences.
• Produce original content.
• Follow applicable advertising regulations.
• Use their affiliate code responsibly.
• Maintain respectful conduct online.

Creators must not:

• Make false health claims.
• Guarantee specific weight loss or muscle gain.
• Misrepresent PrepNourish products.
• Promote unsafe dieting behaviours.
• Engage in misleading marketing practices.

Creators should communicate in a manner consistent with PrepNourish's values.

We encourage creators to focus on:

• Confidence
• Consistency
• Lifestyle
• Healthy habits
• Convenience
• Education

Creators should avoid:

• Shame-based messaging
• Fear marketing
• Body shaming
• Unrealistic transformation promises

Each creator receives:

• A unique referral link
• A unique discount code (where applicable)

Commissions are tracked using PrepNourish's attribution system.

PrepNourish's tracking records shall be considered final unless a technical error can be demonstrated.

A referral will remain attributed to a creator for 30 days from the customer's first qualifying click.

If another creator refers the same customer within the attribution window, the most recent qualifying referral ("last-click attribution") will receive credit unless otherwise stated.

PrepNourish reserves the right to change attribution models with reasonable notice.

A purchase qualifies for commission only if:

• Payment is successful.
• The order is fulfilled.
• The customer does not cancel.
• The customer does not receive a full refund.
• Fraud detection does not flag the purchase.
• The order complies with Program rules.

Commission rates are communicated separately.

PrepNourish reserves the right to:

• Adjust commission percentages.
• Introduce bonuses.
• Run limited-time promotions.

Reasonable notice will be provided before permanent changes.

To allow for cancellations, refunds and fraud checks:

Commissions remain Pending until 7 days after successful delivery.

Once approved they become Available for withdrawal.

Approved commissions may be withdrawn subject to:

• Accurate bank information
• Identity verification where required

Payments are typically processed weekly, although delays may occasionally occur.

No commission is earned where:

• An order is cancelled.
• A payment fails.
• A refund is issued before commission approval.
• Fraud is detected.

If commission has already been paid on fraudulent or refunded transactions, PrepNourish may deduct the amount from future payouts.

The following activities are prohibited:

• Self-referrals.
• Purchasing through your own affiliate link.
• Creating fake customer accounts.
• Coupon abuse.
• Fake orders.
• Stolen payment methods.
• Artificial traffic.
• Click fraud.
• Incentivised purchases without approval.
• Misleading promotions.

Violation may result in:

• Immediate removal.
• Cancellation of unpaid commissions.
• Permanent ban.

Creators must not engage in conduct that may reasonably damage PrepNourish's reputation.

This includes:

• Hate speech
• Harassment
• Discrimination
• Illegal activity
• Violence
• Fraud
• Defamatory statements

Constructive feedback is always welcome.

Creators must comply with applicable advertising laws.

Sponsored content should clearly disclose the relationship using appropriate labels such as:

• #Ad
• #Sponsored
• Paid Partnership

where legally required.

Creators may receive confidential information including:

• Future products
• Campaigns
• Pricing
• Business strategy
• Internal documents

Such information must not be disclosed without written approval.

PrepNourish trademarks, logos, branding and creative assets remain the exclusive property of PrepNourish.

Creators receive a limited licence to use approved brand assets solely for Program participation.

Creators may not:

• Modify logos.
• Create fake announcements.
• Alter brand colours.
• Misrepresent affiliation.

PrepNourish does not guarantee:

• Income
• Commission levels
• Paid campaigns
• Future opportunities

Creator earnings depend on individual performance.

Participation in the Program does not guarantee paid work.

Campaign invitations are based on factors including:

• Content quality
• Reliability
• Brand fit
• Audience engagement
• Previous performance

PrepNourish may introduce creator tiers such as:

• Creator
• Verified Creator
• Partner Creator
• Brand Ambassador

Benefits may differ between levels.

Creators are responsible for:

• Income tax
• VAT (where applicable)
• Personal statutory obligations

PrepNourish will not withhold taxes unless required by law.

PrepNourish may suspend participation where:

• Fraud is suspected.
• Brand guidelines are repeatedly ignored.
• These Terms are breached.
• Investigations are ongoing.

Either party may terminate participation at any time.

Upon termination:

• Future commissions cease.
• Approved unpaid commissions remain payable.
• Fraudulent commissions are forfeited.
• Creator access may be revoked.

PrepNourish shall not be liable for:

• Platform outages.
• Tracking interruptions.
• Indirect damages.
• Loss of expected earnings.
• Third-party platform changes.

Liability shall not exceed unpaid commissions due to the creator.

PrepNourish may update these Terms periodically.

Material changes will be communicated before taking effect.

Continued participation constitutes acceptance of revised Terms.

Creator information will be processed in accordance with PrepNourish's Privacy Policy.

Necessary information may be collected for:

• Payments
• Tax compliance
• Fraud prevention
• Program administration

These Terms shall be governed by the laws of the Federal Republic of Nigeria unless otherwise required by applicable law.

Both parties agree to attempt to resolve disputes amicably before commencing legal proceedings.

If unresolved, disputes shall be submitted to mediation before litigation where reasonably practicable.

Neither party shall be liable for delays caused by events beyond reasonable control including:

• Natural disasters
• Internet outages
• Government restrictions
• War
• Civil unrest
• Pandemics

These Terms constitute the entire agreement governing participation in the PrepNourish Creator & Affiliate Program.

Campaign-specific agreements may contain additional terms which will apply only to those campaigns.
